General Terms of Sale
These General Terms of Sale govern the sale of products and services by LARA and its affiliates (collectively, “LARA”) to the client. Additional terms may apply for specific services provided by LARA (e.g., subscription agreements). In the event of inconsistencies between these General Terms of Sale and any additional terms, the additional terms will prevail.
Please read these terms carefully before placing an order with LARA. By accepting an order with LARA, the client confirms their agreement to these terms.
The client explicitly waives their own standard terms and conditions, even if such terms were created after these General Terms of Sale. Any deviation from these terms must be explicitly agreed to in advance and in writing to be valid.

Payment Terms
  • All invoices issued by LARA are payable within 21 working days, unless otherwise specified on the invoice or order.
  • In the event of non-payment by the due date, LARA reserves the right to apply a fixed late payment interest of 15% of the outstanding amount.
  • LARA reserves the right to suspend service delivery without prior notice in the event of overdue payments.
If a payment remains outstanding for more than 60 days after the due date, LARA reserves the right to engage a debt recovery service. All associated legal and recovery costs will be the responsibility of the client.
For clients subject to withholding tax under Moroccan or international law, such taxes are the responsibility of the client and must be paid directly to the tax authorities. The invoice amount payable to LARA must remain unaffected by any such taxes or deductions.

Subscriptions
  • Monthly subscription payments are only available for cloud-hosted services. Payment for such subscriptions must be made by credit card or other supported automatic debit methods.
  • LARA reserves the right to reject any subscription payments not compliant with these terms.

Delivery and Liability
LARA commits to delivering its services within agreed timeframes. However, these obligations are best-effort and not guaranteed performance commitments.
LARA cannot be held liable for claims made by end consumers against the client. Any liability for damages resulting from the client’s use of LARA's services is limited to 50% of the total amount paid by the client under these terms during the 12 months preceding the claim.
All claims against LARA must be submitted in writing via recorded delivery within 8 days of the delivery of goods or services.

Modifications to Terms
LARA reserves the right to modify these terms at any time without prior notice. Clients will be subject to the terms in effect at the time of their agreement.

Governing Law and Jurisdiction
These Terms of Sale and all related contractual relations are governed exclusively by Moroccan law. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Casablanca, Morocco.
